1. Introduction

These Terms and Conditions (“Terms”) govern your participation in all photography events, workshops, networking sessions, productions, and related services organized by Phosmora LLC (“Phosmora,” “we,” “our,” or “us”). By registering for, purchasing a ticket for, attending, or otherwise participating in any Phosmora LLC event, or by using the Phosmora LLC website or related services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

Phosmora LLC reserves the right to modify or update these Terms at any time. Material changes will become effective upon publication on our website or through other reasonable notice. Continued participation in our events or use of our services following such updates constitutes acceptance of the revised Terms.

2. Participation

2.1 Event Participation and Requirements

Participation in any Phosmora LLC event is subject to these Terms and all event-specific rules communicated before or during the event. By attending, each participant agrees to:

  • Comply with all instructions, safety guidelines, and policies established by Phosmora LLC, venue staff, and event organizers.
  • Conduct themselves professionally and respectfully toward all participants, venue staff, and members of the public.
  • Comply with all applicable federal, state, and local laws, including photography regulations, permit requirements, and venue policies.
  • Respect the privacy, personal boundaries, and creative work of fellow participants.
  • Refrain from disruptive, unsafe, illegal, offensive, or inappropriate conduct that may negatively affect the event or other attendees.

Failure to comply may result in immediate removal from the event without refund and may result in suspension or permanent prohibition from future Phosmora LLC events.

2.2 Age Requirement

Unless otherwise stated in writing by Phosmora LLC, participants must be at least eighteen (18) years of age to attend events.

2.3 Consent

Participants must obtain clear and voluntary consent before photographing, recording, filming, or otherwise capturing another participant outside of scheduled photography sessions or designated event activities. Personal boundaries must always be respected.

3. Photography & Media Rights

3.1 Media Rights, Model Release & Promotional License

Phosmora LLC may photograph and record events for documentation and promotional purposes. Participants who do not wish to appear in promotional materials may notify Phosmora LLC before or during the event. Featured models and participants appearing in promotional campaigns may be asked to sign a separate media release.

By participating, you authorize Phosmora LLC to reproduce, edit, crop, retouch, modify, publish, display, distribute, transmit, and otherwise use such photographs and recordings for lawful business purposes, including but not limited to marketing, advertising, social media, and website content. No additional approval or consent is required before photographs or recordings are published. Participants are not entitled to royalties, compensation, or other payment arising from the authorized use of their image or likeness. This authorization remains in effect indefinitely unless otherwise required by law.

3.2 Copyright Ownership

Unless otherwise agreed in writing:

  • Each photographer retains full ownership and copyright of the photographs they create during a Phosmora LLC event.
  • Photographers retain the right to be credited as the creator of their work whenever reasonably practicable.
  • Participants may not reproduce, alter, sell, license, or commercially exploit photographs without obtaining the copyright owner's prior written permission.
  • Unauthorized copying, editing, distribution, or commercial use of copyrighted images may constitute copyright infringement under applicable law.
  • Photographers may, at their sole discretion, provide preview images, digital proofs, or final edited photographs to participants.

3.3 Creative Media portfolio and Social Media usage

We believe in supporting the visibility and professional growth of our creative partners. Unless otherwise agreed in writing, artists and collaborators participating in our events (including makeup artists, hair stylists, models, photographers, and other creative professionals) may share approved images from the event on their professional websites and social media platforms for portfolio, promotional, and professional networking purposes.

All posted images must:

  • Credit the photographer and other relevant creative team members when applicable.
  • Respect client privacy and any confidentiality requests.
  • Not be used in a misleading way or imply endorsement, ownership, or involvement beyond the actual event.
  • Follow any model releases, client agreements, or usage restrictions provided for the event.

Clients may request that specific images not be shared publicly by notifying us before the event.

4. Creative Roles and Responsibilities

4.1 Photographer Responsibilities

Photographers agree to maintain a professional standard of conduct throughout the event. They are encouraged to provide edited photographs to models and creative participants, but unless separately agreed in writing, photographers participate as independent creators and are solely responsible for image selection, editing, delivery timelines, and fulfillment of any image-sharing commitments. Photographers may select the delivery platform of their choice and must treat all participants respectfully and maintain a collaborative working environment.

4.2 Independent Participants and Third-Party Services

Phosmora LLC provides an organized environment for creative collaboration but does not employ, represent, supervise, or guarantee the services, conduct, skills, or deliverables of individual participants. All creatives participate as independent individuals and are solely responsible for their own work, agreements, communications, services, and professional relationships. Phosmora LLC does not guarantee the quality, style, or outcome of creative work, delivery of photographs, professional compatibility, or future business relationships formed through events.

4.3 Models, Stylists, and Makeup Artists

Makeup Artists (MUAs):

  • Photographers are encouraged to showcase the creative work of makeup artists whenever practical.

Stylists:

  • Wardrobe stylists retain full creative discretion regarding wardrobe selection and outfit assignments.

Models:

  • Models may use photographs for personal portfolios and self-promotion unless otherwise agreed with the photographer.
  • Commercial use requires prior permission of the copyright owner unless otherwise authorized in writing.

4.4 Personal Appearance

Participants are responsible for arriving prepared for photography. Photographers may perform standard retouching but are not required to remove temporary personal conditions. Participants are encouraged to inspect their appearance before each session.

5. Fees, Pricing & Event Logistics

5.1 Event Fee Structure

Registration fees cover operational costs, including venue rental, liability insurance, refreshments, coordination, and other essential expenses. Outdoor summer events only require the base event coordination fee; no studio rental fee applies.

5.2 Equipment Policy

Participants must bring their own photography equipment. Phosmora LLC is not responsible for providing personal equipment or for any loss, damage, or malfunction of participant-owned gear.


5.3 Camera Equipment Donation Program

Photographers are encouraged to donate functional, unused, or surplus camera equipment to support emerging photographers.

5.4 Payment, Cancellation & Refund Policy

  • Full refunds are available if cancellation is submitted at least 24 hours prior to the event.
  • No-shows are not eligible for refunds.
  • Phosmora LLC may consider refunds outside this timeframe for documented emergencies at its discretion.
  • If Phosmora LLC cancels an event, participants may receive a full refund or transfer registration to another date.

6. Health, Safety & Liability Waiver

6.1 Health & Safety Guidelines

Phosmora LLC implements reasonable health and safety measures for all events. Participants experiencing illness must refrain from attending. The company may request that symptomatic individuals leave the venue.

6.2 Food & Beverage Acknowledgment

Participants are responsible for determining the suitability of any food or beverage provided. Phosmora LLC cannot guarantee allergen-free options and is not liable for adverse effects except in cases of negligence or willful misconduct.

6.3 Accessibility

Phosmora LLC welcomes participants with disabilities and will review site logistics to ensure reasonable accessibility.

7. Platform Terms of Use & Disclaimers

Phosmora LLC provides organized creative events and networking opportunities but does not supervise, control, or guarantee any direct interactions, private arrangements, or services exchanged between users outside of the platform. All users are responsible for managing their own relationships and resolving disputes directly. Phosmora LLC may offer mediation at its discretion but assumes no legal obligation to resolve disputes.

Phosmora LLC reserves the right to suspend, restrict, or terminate user accounts or access to services as necessary to protect the platform.

7.1 Website Terms of Use

These Terms also apply to your access and use of the Phosmora LLC website, digital platforms, and related online services.

By accessing or using the Phosmora LLC website, you agree to:

  • Use the website only for lawful and authorized purposes.
  • Avoid attempting to disrupt, damage, disable, or interfere with the website’s security, functionality, or availability.
  • Refrain from uploading or transmitting viruses, malware, malicious code, or any harmful software.
  • Not copy, reproduce, modify, distribute, publish, sell, or exploit website content without prior written authorization from Phosmora LLC.
  • Not use the website in any manner that could negatively impact the experience, security, or accessibility of the platform for Phosmora LLC or its users.

8. Reporting, Moderation, and Enforcement

8.1 Reporting Inappropriate Content or Behavior

Users may report violations of these Terms, including harassment, discrimination, intellectual property misuse, or unsafe practices. Reports are reviewed by Phosmora LLC’s moderation team, and appropriate action may be taken, including:

  • Content removal
  • Warnings
  • Account restrictions
  • Permanent exclusion from events

8.2 Confidentiality & Appeals

All reports are handled confidentially. The identity of the reporting user will not be disclosed unless required by law.

Users may appeal moderation actions through Phosmora LLC customer support.

The company’s total liability is limited to the amount paid by the participant for the applicable event.

9. Privacy and Information use

9.1 Data Security

Phosmora LLC takes reasonable administrative, technical, and organizational measures designed to protect personal information against unauthorized access, misuse, alteration, disclosure, or destruction.

However, no method of electronic transmission, storage, or internet-based communication can be guaranteed to be completely secure. While Phosmora LLC strives to protect user information, we cannot guarantee absolute security of data transmitted or stored electronically.

9.2 Your Privacy Rights

Depending on applicable laws and regulations, participants may have the right to request:

  • Access to personal information maintained by Phosmora LLC.

By registering for a Phosmora LLC event, creating an account, or using Phosmora LLC’s website and services, you acknowledge and consent to the collection, processing, and use of your personal information in accordance with Phosmora LLC’s Privacy Policy and applicable privacy regulations.

Phosmora LLC is committed to handling personal information responsibly and maintaining appropriate safeguards designed to protect user privacy.

Participants may also request:

  • Correction of inaccurate or incomplete information.
  • Deletion of personal information where legally permitted.
  • Withdrawal of consent for certain marketing communications.

Phosmora LLC will review and respond to requests within a reasonable timeframe and in accordance with applicable privacy requirements.

Phosmora LLC may retain personal information for as long as reasonably necessary for business operations, legal compliance, dispute resolution, accounting purposes, and enforcement of agreements.

9.3 Social Media Information Sharing

By participating in the photoshoot event, participants acknowledge and agree that their publicly available Instagram and/or Facebook information may be shared with other event participants for the purpose of:

  • Identifying people they were photographed with.
  • Connecting after the event.
  • Sharing images.
  • Building future creative or professional collaborations.

Social media information will only be shared for event-related networking purposes and will not be used for unrelated marketing, sold, or distributed outside the participant community without additional permission.

Participants may choose not to have their social media information shared by notifying the event organizer before or during the photoshoot.


9.4 Privacy Policy – Information Use & Protection

How We Use Your Information

Phosmora LLC may collect and use participant information for legitimate business, operational, and service-related purposes, including:

  • Processing event registrations and managing attendance.
  • Processing payments and transaction-related activities.
  • Communicating important event updates, schedules, announcements, and service information.
  • Responding to questions, requests, feedback, and support inquiries.
  • Improving our events, platform experience, and creative services.
  • Informing participants about upcoming events, opportunities, and related offerings.
  • Maintaining accurate participant records and administrative documentation.
  • Complying with applicable legal, regulatory, and safety requirements.

Phosmora LLC collects and uses personal information only for purposes consistent with providing, improving, and maintaining our services.

9.5 Payment Processing

Payments made through Phosmora LLC may be processed through secure third-party payment providers, including but not limited to Stripe, Venmo, or other authorized payment processing services.

Phosmora LLC does not store complete credit card, debit card, or banking information on its own servers. Payment information is handled directly by secure third-party providers according to their respective privacy and security policies.

10. Liability and Risk

Liability Waiver & Indemnity Agreement

Assumption of Risk

To the fullest extent permitted by law, participant voluntarily assumes all risks associated with attendance and participation in Phosmora LLC events, including risks of:

  • Personal injury
  • Illness
  • Property damage
  • Theft
  • Equipment loss
  • Accidents
  • Interactions with other participants, vendors, venues, or third parties

You voluntarily assume all risks associated with attending, including physical injury or equipment damage resulting from a lack of personal attention or environmental hazards.

While Phosmora LLC takes reasonable steps to maintain a safe and professional event environment, participants remain solely responsible for their personal belongings, equipment, and property brought to or used during events.

Participants are strongly encouraged to obtain their own insurance coverage for valuable personal items, including but not limited to:

  • Cameras
  • Lenses
  • Electronic equipment
  • Other professional gear

Phosmora LLC is not responsible for loss, theft, damage, or destruction of participant-owned property unless otherwise required by applicable law.

10.1 Indemnification and Damage

All participants must sign a comprehensive indemnity agreement prior to session entry.

The participant is responsible for any damage to the studio, equipment, furnishings, or property caused by the participant, the participant's guests, vendors, or any person attending the event through the Participant, excluding normal wear and tear.

The participant agrees to indemnify, defend, and hold harmless Phosmora LLC, the studio owner, the studio's employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  1. The actions or omissions of the participant, the Participant's guests, vendors, or invitees.
  2. Damage to the studio or its property caused by the Participant or anyone attending the event through the Participant.
  3. Personal injury or property damage resulting from the Participant's use of the studio, except to the extent caused by the negligence or willful misconduct of PHOSMORA LLC or the studio owner.

The Participant agrees to reimburse PHOSMORA LLC and/or the studio owner for the reasonable cost of repairing or replacing any damaged property for which the Participant is responsible.

Nothing in this Agreement shall be interpreted as making the Participant responsible for damages or injuries resulting solely from the negligence, gross negligence, or intentional misconduct of PHOSMORA LLC or the studio owner.

10.2 Emergency Assistance

Participants authorize Phosmora LLC and event personnel to seek emergency assistance on their behalf when reasonably necessary due to an accident, injury, or medical situation.

Participants understand that they are responsible for their own medical expenses and insurance coverage.

10.3 Events Beyond Our Control

Phosmora LLC shall not be responsible for delays, cancellations, or modifications caused by circumstances outside of its reasonable control, including but not limited to:

  • Severe weather
  • Natural disasters
  • Government restrictions
  • Venue closures
  • Transportation disruptions
  • Power failures
  • Health emergencies
  • Safety concerns

10.4 Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

10.5 Severability

If any provision, clause, or portion of these Terms is determined to be invalid, unlawful, or unenforceable by a court or other authorized authority, such determination shall not affect the validity or enforceability of the remaining provisions.

The remaining sections of these Terms shall continue in full force and effect.

10.6 Intellectual Property Rights

All content displayed on the Phosmora LLC website, including but not limited to:

  • Text
  • Graphics
  • Logos
  • Photographs
  • Videos
  • Branding materials
  • Event descriptions
  • Designs
  • Other creative assets

is owned by Phosmora LLC or its respective content owners and is protected under applicable copyright, trademark, and intellectual property laws.

No website content may be copied, reproduced, modified, distributed, or used for commercial purposes without prior written permission from Phosmora LLC or the applicable rights holder.

10.7 Website Access Restrictions

Phosmora LLC reserves the right to restrict, suspend, or terminate access to its website, online services, or user accounts for individuals who violate these Terms, misuse the platform, engage in harmful activity, or compromise the security and integrity of the website.

10.8 No Employment Relationship

Participation in Phosmora LLC events does not create an employment, agency, partnership, joint venture, or contractor relationship between Phosmora LLC and any participant.

10.9 Alcohol / Substance Policy

Alcohol, illegal substances, or being under the influence of substances that impair judgment may result in immediate removal without refund.

10.10 Electronic Acceptance

By registering for a Phosmora LLC event, purchasing a ticket, completing an electronic registration form, submitting digital consent, or attending a Phosmora LLC event, you acknowledge and agree that:

  • You have reviewed and understood these Terms and Conditions.
  • You understand your responsibilities, obligations, and rights as a participant.
  • You voluntarily agree to be legally bound by these Terms.
  • Your electronic acceptance, submission, or confirmation carries the same legal effect as a handwritten signature to the extent permitted by applicable law.

10.11 Entire Agreement

These Terms and Conditions represent the complete and exclusive agreement between Phosmora LLC and participants regarding participation in Phosmora LLC events, use of the Phosmora LLC website, and access to related services.

These Terms supersede all prior discussions, communications, representations, agreements, or understandings, whether written or verbal, relating to the subject matter covered herein.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain valid and enforceable to the fullest extent permitted by law.
